1. INTRODUCTION

1.1 Agreement to Terms

Welcome to Quizlink AI ("Company," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of the Quizlink AI platform, including any content, functionality, and services offered on or through our website, mobile application, browser extension, and MCP (Model Context Protocol) integrations (collectively, the "Service").

Please read these Terms carefully before you start using the Service. By using the Service, registering an account, or clicking to accept or agree to the Terms when this option is made available to you, you accept and agree to be bound and abide by these Terms and our Privacy Policy, incorporated herein by reference. If you do not want to agree to these Terms or the Privacy Policy, you must not access or use the Service.

1.2 Changes to Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Service thereafter. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.

1.3 User Eligibility

The Service is intended for users who are at least 13 years of age. All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Service. If you are a minor, you must have your parent or guardian read and agree to these Terms prior to you using the Service.

Premium Tier: Complete access with maximum monthly coins, all Pro features, API access, and dedicated support. Pricing varies by region.

The specifics of what is included in each tier will be described on our pricing page and may be updated from time to time at our discretion.

2.3 Coin System

The Service uses a coin-based system for content generation. Monthly coins are provided with your subscription and reset each billing cycle. Additional permanent coins may be purchased separately and do not expire. Coins are consumed when generating educational content through the platform.

2.4 Subscription and Billing

By selecting a paid subscription plan, you agree to pay the subscription fees indicated for that service in your region. Subscription fees may vary based on your location and will be clearly displayed before you complete your purchase. Payments will be charged on a pre-pay basis on the day you sign up for the Service and will cover the use of that service for the subscription period indicated.

Subscription fees are billed in advance on a monthly basis. Payment will automatically be charged to your authorized payment method on file. You authorize us to bill the payment method associated with your account in advance on a recurring basis. Your subscription will automatically renew each month until you cancel.

We will send you an email notification before charging your payment method for recurring subscriptions. You are responsible for keeping your payment information current. If your payment fails, we may suspend your access to the Service.

2.5 Cancellation and Refund Policy

You may cancel your subscription at any time through your account settings or by contacting our customer support. Upon cancellation, your subscription will remain active until the end of your current billing period, after which it will not renew.

All purchases are final and non-refundable. However, in exceptional circumstances and at our sole discretion, we may issue refunds if:

3. USER ACCOUNTS

3.1 Account Creation and Responsibility

When you create an account with us, you must provide accurate, complete, and current information at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3.2 Account Security

You are responsible for all activity that occurs under your account. We reserve the right to terminate accounts if we suspect unauthorized or fraudulent use.

3.3 Termination

We may suspend or terminate your account and access to the Service at any time, for any reason, including, but not limited to, your breach of these Terms. Upon termination, your right to use the Service will cease immediately. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

4. USER CONTENT AND CONDUCT

Our Service allows you to upload, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material ("User Content"). By uploading User Content to the Service, you grant Quizlink AI a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, publish, process, and distribute that User Content in connection with providing the Service to you and other users.

While we do not retain User Content after processing for quiz generation, we retain intellectual property rights to the quizzes, flashcards, and other educational materials generated from your User Content. This does not affect your ownership of the original materials you upload.

5. INTELLECTUAL PROPERTY

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Quizlink AI Limited and its licensors. The Service is protected by copyright, trademark, and other laws of Nigeria, the United States, and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Quizlink AI Limited.

5.2 Generated Content

Quizlink AI retains ownership of all quizzes, flashcards, and other materials generated through our platform, even when based on User Content. You may use these materials for personal educational purposes only, and may not redistribute, sell, or claim ownership of them.

6. BROWSER EXTENSION AND INTEGRATIONS

Our browser extension enables content extraction from web pages you visit to create educational materials. By installing the extension, you authorize it to:

8.2 Accuracy of Content

We do not warrant that the Service or content will be error-free, uninterrupted, secure, or that defects will be corrected. We are not responsible for any inaccuracies in the educational materials generated.

8.3 Limitation of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL QUIZLINK AI LIMITED, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICE, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

You agree to defend, indemnify, and hold harmless Quizlink AI Limited, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

9. GOVERNING LAW AND DISPUTE RESOLUTION

9.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria and, where applicable, the United States, without giving effect to any principles of conflicts of law.

9.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation, it shall be submitted to mediation under the rules of a mutually agreed mediation service. If mediation is unsuccessful, the parties may then proceed to formal legal proceedings in the appropriate courts of Nigeria or the United States, as applicable.

10. MISCELLANEOUS

10.1 Entire Agreement

These Terms constitute the entire agreement between you and Quizlink AI Limited regarding the Service and supersede all prior and contemporaneous written or oral agreements.

10.2 Waiver and Severability

No waiver by the Company of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
